KEY4 INC – Locksmith Supplies Acknowledgment and Liability Policy
Scope and Acceptance
This Acknowledgment and Liability Policy (“Policy”) applies to all purchases of locksmith tools, equipment, and supplies from KEY4 INC by customers in the United States, Canada, and Mexico (as well as any other international destinations we serve). It covers both online and in-store purchases, including purchases made using a KEY4 INC customer account. By creating an account on Key4.com or by proceeding to check out and purchase products, you confirm that you have read, understand, and agree to this Policy and all its terms. If you do not agree, you must not create an account or purchase our products.
Professional Use Only
All locksmith supplies sold by KEY4 INC are intended for professional use only. Our products are designed to be used by trained and qualified individuals, such as licensed locksmiths or other security professionals. They are not intended for use by untrained persons or for any unlawful or unauthorized purposes. The buyer acknowledges that locksmith tools can be hazardous or may be illegal to use without proper training or authority. Use of these products is at the sole risk of the user, and you assume full responsibility for their use or misuse. By purchasing and using KEY4 INC’s products, you agree that you will use them lawfully and ethically, solely in the course of legitimate professional activities (for example, authorized locksmith services, permitted lock installation or maintenance, or legal lock-sport hobby use on your own property or with permission).
Compliance with Laws and Licensing Requirements
Customers are fully responsible for understanding and complying with all applicable laws in their jurisdiction related to the purchase, possession, and use of locksmith supplies. Laws and regulations vary by region, and it is solely your obligation as the buyer to ensure that your use of our products is legal. Before purchasing, you must verify all federal, state/provincial, and local laws, ordinances, and regulations that apply to locksmith tools in your location. By placing an order, you certify that you have determined you are within your legal rights to buy and use the items in your order, and that you have obtained any licenses or permits required by your jurisdiction.
United States: In the U.S., certain states require locksmiths to hold a valid license or registration to possess or use locksmith tools. For example, California, Illinois, New Jersey, Texas, and numerous other states have laws mandating locksmith licensing. If you reside in, or will use our products in, any state or locality that requires a locksmith license (or other credential), you must possess a current and valid license issued by the appropriate authorities. KEY4 INC may request your locksmith license number or documentation for verification in such cases. Even in states that do not have statewide locksmith licensing, you are not exempt from compliance: you must still use our products only for lawful purposes, and you remain fully responsible for any misuse or illegal use of the tools. (Note that some cities and counties have local ordinances on locksmith tools – you are responsible for complying with any local requirements as well.)
Canada: In Canada, locksmith licensing and regulation vary by province. Some provinces (for example, Alberta) require all locksmiths or security service providers to be licensed, and certain activities in provinces like British Columbia may require a specific security worker license. Other provinces, such as Ontario, Nova Scotia, New Brunswick, and Saskatchewan, do not mandate a provincial locksmith license, although local municipal rules or general business licensing laws may apply. It is the buyer’s responsibility to check the provincial and municipal laws where they operate. If your province requires licensing or certification for locksmiths or for owning certain locksmith tools, you must hold and comply with those credentials. Regardless of provincial requirements, all Canadian buyers must use the products lawfully and are accountable for any misuse or violation of law.
Mexico and Other International Destinations: If you are purchasing from Mexico or any other country outside of the U.S. or Canada, you are fully responsible for ensuring compliance with all local laws in your country. Before buying, confirm that importing and possessing locksmith tools is legal in your region, and obtain any necessary permits or authorizations. International buyers (including those in Mexico) are also responsible for any customs duties, import taxes, or restrictions that may apply to locksmith tools. KEY4 INC is not responsible for shipments that are detained or seized by customs or border authorities due to import regulations or for any legal penalties that may result. By ordering internationally, you agree that you are legally allowed to receive these items and will adhere to all applicable laws in your country. The obligation to use our products only for legitimate, lawful purposes applies in every jurisdiction, even if local law does not explicitly require a professional license.
Identification, Credential Verification, and Order Cancellation
KEY4 INC reserves the right to verify customer credentials and identity. We may require you to provide proof of your professional status or legal eligibility before completing a sale – for example, a government-issued photo ID, a locksmith license, a business license, or other relevant credential. If you are asked to provide such documentation, you must comply and furnish true and correct information.
KEY4 INC, in its sole discretion, may refuse or cancel any order that we believe may violate this Policy or any applicable law, or if the purchaser cannot adequately demonstrate compliance with legal requirements or our terms. This includes situations where a buyer fails to provide requested verification of identity or qualifications, or where we suspect the tools may be misused or resold unlawfully. In the event that an order is canceled by KEY4 INC for these reasons, any payment received for that order will be refunded (provided that the purchase was not itself illegal), and we will notify the customer of the cancellation. KEY4 INC shall not be liable for any costs or losses arising from such a refusal or cancellation of an order. We also reserve the right to terminate or restrict account access for any customer who violates this Policy or any applicable laws.
Limitation of Liability
Use of KEY4 INC’s locksmith supplies is at your own risk, and you assume full responsibility for any consequences of use or misuse. To the fullest extent permitted by law, KEY4 INC shall not be liable for any damages or losses arising out of or in connection with the purchase, use, or misuse of our products. This limitation of liability applies to all forms of damages, including but not limited to direct, indirect, incidental, punitive, special, or consequential damages, property damage, personal injury, or loss of business/profits, even if KEY4 INC has been advised of the possibility of such damages. KEY4 INC is not responsible for any harm to you, your property, or any third party resulting from the improper or illegal use of the locksmith tools we sell. In jurisdictions that do not allow the exclusion or limitation of certain damages, our liability will be limited to the maximum extent permitted by applicable law. In any case, KEY4 INC’s total cumulative liability to you (if any) for any claim related to your purchase or use of our products shall not exceed the amount you paid to KEY4 INC for that product. By using our products, you acknowledge that you assume all risks associated with their use and release KEY4 INC from any and all liability for any outcome arising from such use.
Indemnification
You agree to defend, indemnify, and hold harmless KEY4 INC, its parent and affiliated companies, and each of their respective officers, directors, employees, agents, and representatives (the “Indemnified Parties”) from and against any and all claims, demands, lawsuits, liabilities, damages, judgments, losses, costs, and expenses (including reasonable attorneys’ fees) arising out of or related to:
- Your Violation of Law or Terms: Any breach of this Policy or other applicable terms, or any violation of federal, state, provincial, local, or international laws or regulations by you in connection with your purchase or use of KEY4 INC products.
- Misuse of Products: Any misuse, unauthorized use, or illegal use of the locksmith supplies you purchase, including use of the products in a manner not intended or permitted by this Policy or by law.
- Third-Party Claims: Any claim, legal action, or investigation brought by a third party (including but not limited to customers of yours, end-users, law enforcement, or regulatory authorities) resulting from your actions or omissions involving our products – for example, claims that your use of our tools caused harm, injury, or property damage, or was used in unlawful activity.
This indemnification obligation means you will reimburse the Indemnified Parties for any losses and costs (including attorneys’ fees and legal expenses) incurred as a result of such claims, and you will defend the Indemnified Parties against those claims at your expense if requested. This clause remains in effect even after the completion of the sale and delivery of products.
Agreement and Acknowledgment
By creating an account with KEY4 INC or by placing an order (online or in-store) for any locksmith supply product, you acknowledge and agree that you have read this Acknowledgment and Liability Policy and that you understand and accept all the above terms and conditions. This Policy is a binding part of your agreement with KEY4 INC for any purchase. If you do not understand or do not agree with any part of this Policy, you should refrain from creating an account or purchasing from KEY4 INC. Your use of our website, your account, or any purchase of products from us constitutes your consent to and acceptance of this Policy in its entirety.
